JOB SUMMARY

 

Reporting directly to the JCAA Board of Directors through the Board Chairperson, the Corporate Secretary is required to support the effective operations of the Board in line with good corporate governance best practices, applicable laws, framework, and policies.

 

In executing the role, the Corporate Secretary is required to provide critical technical and administrative support and to be the central source of guidance and information to the Board on all matters related to corporate governance, including orientation, sensitization and professional development of the Board of Directors, effective operations of the Board, legal and regulatory compliance, and ethical standards. The Corporate Secretary will also provide detailed guidance to the entire Board and individual directors on the nature and extent of their duties and responsibilities, and how they should be discharged in the best interest of the JCAA.

 

The Corporate Secretary is also required to prepare, oversee and/or manage the preparation and circulation of reports and information with respect to the JCAA’s statutory reporting and other requirements, as well as Board and Committee papers and minutes. The Corporate Secretary will manage the recording secretariat, coordinates and monitor the activities of the Board and its Committees and ensure the timely communication of decisions to Executive Management. 

 

QUALIFICATIONS & EXPERIENCE

 

  • Minimum of an undergraduate degree in Business Administration, Law or equivalent specialized training from a recognized tertiary institution
  • Chartered Corporate Secretary, Certification in Governance, or equivalent specialized training
  • Minimum of 3 years’ experience as Corporate Secretary, preferably in a Public Body

 

KEY TECHNICAL COMPETENCIES REQUIRED

 

  • Sound knowledge of key Jamaica Public Body Corporate Governance statutes and policies, including:

 

  • Public Bodies Management and Accountability Act & Regulations
  • Financial Administration and Audit Act
  • Public Procurement Act
  • Corruption Prevention Act
  • Access to Information Act
  • Protected Disclosures Act (Whistleblower Act)
  • Corporate Governance Framework for Public Bodies in Jamaica Government
  • MOFPS Guidelines on the Role and Responsibilities of the Corporate Secretary
  • Jamaica Handbook of Public Sector Procurement Procedures

 

  • Good knowledge of database management
  • Working knowledge of the Staff Orders for the Public Service, Public Service Regulations and other GOJ guidelines
  • Working knowledge of statutory reporting requirements and filing procedures for statutory returns
  • Working knowledge of formal meeting protocols and minutes-taking
  • Proficient in the use of computers and Microsoft Office Suite with relevant applications for the management of records/ information and research
  • Experience in use of Board Software such as Diligent and Board Effect would be an asset
